1. Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of Execution Over Emotion (“EOE,” “we,” “us,” or “our”), operated by Secnetic Solutions. By creating an account, accepting these Terms during signup, or continuing to use EOE after being prompted to accept an updated version, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not create an account and do not use EOE.

2. Eligibility and account responsibilities

You must be at least 18 years old and able to form a binding contract to use EOE. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use of your account.

3. What EOE is - and is not

EOE is an informational and educational trading-journal and market-context tool. It is designed to help you record, review, and analyze your own trading activity and to surface market data and analytics (such as options gamma exposure, market structure levels, economic-calendar events, and related indicators) for informational purposes.

EOE does not provide investment, financial, legal, or tax advice. Nothing within EOE - including any analytics, market-data output, journal template, or generated summary - is a recommendation to buy, sell, or hold any security, option, future, or other instrument, and should not be treated as personalized advice.

EOE is not a broker-dealer, futures commission merchant, or execution venue. We do not hold customer funds or securities, route orders, or execute trades on your behalf. Unless a brokerage or execution relationship is explicitly established elsewhere in writing, no such relationship exists between you and EOE.

4. Trading risk

Trading securities, futures, and options involves substantial risk of loss and is not suitable for every investor. Past performance - including any performance statistics EOE calculates from your own journaled trades - is not indicative of future results. EOE makes no guarantee of profitability or of any particular trading outcome. You are solely responsible for your own trading decisions and their consequences.

Gamma exposure, options-market-structure levels, and other derived market-data outputs shown in EOE are calculated from third-party market data and are provided “as is.” They may be incomplete, delayed, estimated, temporarily unavailable, or inaccurate, and should not be relied upon as the sole basis for any trading decision.

5. Subscriptions and billing

Paid EOE plans are billed in advance on a recurring basis, at the monthly or annual interval you select at checkout, and processed by our payment processor, Stripe. Your subscription renews automatically at the then-current price for your selected interval until you cancel.

You may cancel at any time from your account settings. If you cancel, you will keep access to paid features through the end of your current paid billing period; access does not continue past that period, and we do not provide prorated credit for the unused portion of a period you choose to cancel early.

Subscription payments are non-refundable except where required by law. Users may cancel at any time, and access continues through the end of the current paid billing period.

6. Acceptable use

• Do not attempt to gain unauthorized access to EOE, other users’ data, or our infrastructure.
• Do not interfere with or disrupt EOE’s availability or integrity (including automated scraping outside any API we explicitly provide).
• Do not use EOE for any unlawful purpose or in violation of any applicable law or regulation.
• Do not misrepresent your identity or impersonate another person or entity.

7. Account security

You are responsible for using a strong, unique password and for keeping your credentials confidential. We use industry-standard practices to protect your account (including durable rate limiting and bot protection on account creation), but no system is perfectly secure, and you should notify us promptly of any suspected unauthorized access.

8. Intellectual property

EOE, its branding, and its underlying software are owned by us or our licensors and are protected by intellectual-property laws. These Terms grant you a limited, personal, non-transferable right to use EOE for your own trading journal and analysis - nothing here transfers ownership of EOE itself to you. You retain ownership of the trade, journal, and screenshot content you upload to your own account.

9. Service availability and changes

We may modify, suspend, or discontinue any part of EOE, and may update these Terms, from time to time. If we change these Terms in a way that affects your acceptance status, you may be asked to review and accept the updated Terms again before continuing to use EOE. We do not guarantee uninterrupted availability of EOE or of any third-party market-data source it depends on.

10. Suspension and termination

We may suspend or terminate your access to EOE if you violate these Terms, misuse the service, or if required by law. You may stop using EOE and cancel your subscription at any time. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

11. Disclaimers

EOE is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that EOE, or any market data it displays, will be accurate, complete, timely, or error-free.

12. Limitation of liability

To the maximum extent permitted by law, EOE and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading losses, lost profits, or lost data, arising out of or related to your use of EOE, even if advised of the possibility of such damages. Our total liability for any claim relating to EOE will not exceed the amount you paid us in the twelve months preceding the claim.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.
